Terms & Conditions

1. Acceptance of These Terms

These Terms & Conditions ("Terms") are a binding agreement between you and Tobin Investment Group, LLC ("TIG," "we," "us," or "our") governing your access to and use of this website and its content, features, and services (collectively, the "Site"). By accessing, browsing, or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and acknowledge our Privacy Policy. If you do not agree, you must immediately discontinue access to and use of the Site.

The Terms & Conditions and Privacy Policy are linked in the footer of every substantive Site page and are available for review at any time. Your continued access to or use of the Site constitutes your continuing acceptance of these Terms.

You represent that you are at least 18 years old and have legal capacity to enter into this agreement. If you use the Site for an organization, you represent that you are authorized to bind that organization, and "you" includes that organization.

2. Changes to These Terms

We may revise these Terms from time to time by posting an updated version on the Site. The effective date appears above. Your continued access to or use of the Site after updated Terms are posted constitutes agreement to the revised Terms. You should review these Terms periodically.

3. Informational Site; No Offer or Professional Advice

The Site is for general informational purposes only. Nothing on the Site constitutes an offer to sell, or a solicitation of an offer to buy, any security or investment product. Any future investment opportunity will be offered only through definitive offering documents and only to eligible investors. Site content is not investment, legal, accounting, tax, financial, brokerage, engineering, property-condition, or other professional advice. You must conduct your own diligence and consult your own advisers.

4. Ownership and Intellectual Property

As between you and TIG, the Site and all content made available through it, including text, copy, narratives, market theses, research, analyses, data selections and compilations, charts, graphics, photographs, images, videos, designs, page layouts, visual presentation, logos, trade dress, software, code, and the selection, coordination, organization, and arrangement of those materials (collectively, "Site Content"), are owned by Tobin Investment Group, LLC or its licensors and are protected to the extent provided by copyright, trademark, trade-dress, unfair-competition, contract, and other applicable laws.

Tobin Investment Group, TIG, associated names and logos, and the Site's distinctive branding may constitute trademarks, service marks, trade names, or other source identifiers of Tobin Investment Group, LLC or their respective owners. Nothing on the Site represents that any copyright, trademark, or service mark is federally or state registered unless expressly stated. No right, title, or interest in the Site or Site Content transfers to you.

5. Limited Permission to Use the Site

Subject to continuous compliance with these Terms, TIG grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to access and view the Site Content solely for your own lawful, noncommercial informational use. No other use is permitted without TIG's prior written authorization.

6. Prohibited Uses

Except to the limited extent a restriction is prohibited by applicable law, you may not, directly or indirectly:

• copy, reproduce, republish, upload, post, transmit, distribute, sell, license, publicly display, publicly perform, modify, translate, adapt, or create derivative works from any Site Content;
• use Site Content for commercial purposes, competitive analysis, investment-product marketing, fundraising materials, publications, presentations, databases, research products, or services offered to third parties;
• scrape, crawl, spider, harvest, index, download in bulk, systematically extract, cache, mirror, frame, or aggregate the Site or Site Content by automated or manual means;
• use Site Content or Site access to train, fine-tune, test, benchmark, ground, augment, retrieve for, or otherwise develop any artificial-intelligence, machine-learning, language-model, data-mining, or automated decision system;
• use robots, bots, scripts, browser automation, headless browsers, agents, or similar technologies to access or interact with the Site without TIG's prior written permission;
• remove, obscure, alter, or falsify copyright, trademark, attribution, provenance, rights-management, or other proprietary notices;
• reverse engineer, decompile, disassemble, probe, test, or attempt to derive source code or nonpublic functionality, except where such restriction is prohibited by law;
• bypass, disable, defeat, interfere with, or circumvent access controls, consent mechanisms, usage restrictions, security features, rate limits, or technical protections;
• access the Site for an unlawful, fraudulent, deceptive, defamatory, infringing, harmful, or abusive purpose, or in a manner that burdens, damages, disables, or impairs the Site or its systems;
• impersonate TIG or another person, misrepresent affiliation or endorsement, or use Site Content in a manner likely to cause confusion; or
• encourage, assist, permit, or enable another person to do any of the foregoing.

7. Reservation of Rights; No Implied License

All rights not expressly granted are reserved. No license or permission arises by implication, estoppel, industry practice, course of dealing, or otherwise. The availability of Site Content on the public internet does not place it in the public domain or authorize copying, automated extraction, commercial exploitation, or AI-related use.

8. Requests for Permission

Requests to quote, reproduce, license, syndicate, analyze in bulk, or otherwise use Site Content beyond the limited permission above must be sent to info@tobinig.com. Permission is valid only if expressly granted in writing by an authorized TIG representative.

9. Feedback and Submissions

If you voluntarily provide ideas, suggestions, comments, or other feedback about the Site or TIG's services, you grant TIG a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable license to use, reproduce, modify, distribute, and otherwise exploit that feedback without restriction or compensation. Do not submit confidential, proprietary, or third-party information through the Site or by unsolicited email.

10. Third-Party Content and Links

The Site may include third-party information or links. TIG does not control or endorse third-party sites and is not responsible for their availability, accuracy, security, privacy practices, or content. Your use of third-party sites is governed by their terms.

11. Accuracy; Forward-Looking Statements

Site Content may contain estimates, opinions, summaries, third-party data, and forward-looking statements. Information may be incomplete, outdated, inaccurate, or subject to revision without notice. Forward-looking statements are inherently uncertain, and actual events or results may differ materially. TIG has no duty to update Site Content.

12. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND SITE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY. TIG DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, SECURITY, AVAILABILITY, AND FREEDOM FROM HARMFUL CODE. TIG DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SUITABLE FOR YOUR PURPOSES.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TIG AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY; OR DAMAGES ARISING FROM RELIANCE ON, USE OF, OR INABILITY TO USE THE SITE OR SITE CONTENT, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, THEIR AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

14. Indemnification

You agree to defend, indemnify, and hold harmless TIG and its owners, officers, employees, agents, affiliates, licensors, and service providers from claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising from or relating to your violation of these Terms, misuse of the Site or Site Content, infringement or misappropriation of another person's rights, or unlawful conduct.

15. Enforcement and Equitable Relief

You acknowledge that unauthorized copying, disclosure, scraping, automated extraction, circumvention, or commercial exploitation of Site Content may cause immediate and irreparable harm for which monetary damages may be inadequate. Accordingly, in addition to all other remedies, TIG may seek temporary, preliminary, and permanent injunctive or other equitable relief, without the necessity of proving actual damages or posting bond to the extent permitted by law. Remedies are cumulative and do not limit rights available under copyright, trademark, contract, unfair-competition, computer-access, or other laws.

16. Suspension and Termination

TIG may restrict, suspend, or terminate access to the Site at any time, with or without notice, including for suspected violation of these Terms. Provisions that by their nature should survive termination will survive, including ownership, prohibited-use, disclaimer, liability, indemnification, enforcement, and dispute provisions.

17. Governing Law; Exclusive Forum

These Terms and any dispute arising from or relating to the Site, Site Content, or these Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Subject to applicable jurisdictional requirements, you and TIG consent to exclusive jurisdiction and venue in the state courts located in Palm Beach County, Florida, and the United States District Court for the Southern District of Florida. You waive objections based on personal jurisdiction, venue, or inconvenient forum.

18. Jury-Trial Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND TIG EACH KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION OR PROCEEDING ARISING FROM OR RELATING TO THE SITE, SITE CONTENT, OR THESE TERMS.

19. Attorneys' Fees and Costs

To the extent permitted by law, the prevailing party in an action to enforce these Terms is entitled to recover reasonable attorneys' fees and costs, including fees and costs incurred on appeal.

20. Copyright and Intellectual-Property Concerns

If you believe material on the Site infringes your rights, send a detailed written notice to info@tobinig.com identifying the work, the challenged material and its location, your contact information, the basis for your claim, and any supporting documentation.

21. General Terms

These Terms and the Privacy Policy constitute the entire agreement regarding the Site and supersede prior or contemporaneous communications on that subject. If a provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without TIG's written consent; TIG may assign them in connection with a reorganization, transfer, or sale. Headings are for convenience only.
